PURCHASE AGREEMENT

This Purchase Agreement (“Agreement”) is entered into between:

Owner/Seller: Valentine Smith (“Owner”)
Facilitator: PixPoint Production Limited, legally registered in the Republic of Trinidad and Tobago (“PixPoint”)
Customer: The individual or entity placing an order via the Seller’s website (“Customer”)

By placing an order, the Customer agrees to the following terms and conditions:

1. Product & Availability

1.1 The product offered under this Agreement is the book Passage of Time (“Book”).
1.2 This is a limited-edition release. Orders may be placed between December 7, 2025, and December 19, 2025, and are available while stocks last.
1.3 All orders are subject to availability and acceptance by PixPoint on behalf of the Owner.

2. Order Process & Payment

2.1 Full payment is required at the time of placing an order.
2.2 All payments are processed via WiPay, the official payment gateway.
2.3 Orders will only be processed upon successful payment authorization.
2.4 Upon placing an order, the Customer will receive an order confirmation email containing the order number, which must be retained for reference.

3. Delivery & Collection

A. Delivery

3.1 Deliveries will begin on 22 December 2025.
3.2 Delivery timelines may vary depending on location and carrier schedules.
3.3 Tracking information will be provided by carriers where applicable.
3.4 Local deliveries require a signature or confirmation of receipt.

B. Collection

3.5 Pick-Up Location: Retxed House, Trincity, Trinidad
3.6 Pick-Up Dates & Times:

    • Saturday, 20 December 2025 3:00 PM to 6:00 PM
    • Sunday, 21 December 2025   3:00 PM to 6:00 PM

3.7 Customers must present a valid ID and order number to collect their purchase.
3.8 If authorizing a third party to collect the Book, the following must be provided:

    • Copy of the Customer’s ID
    • Order confirmation email
    • Copy of the Collector’s ID

C. Order Receipt Confirmation

3.9 Upon receiving the Book, Customers are required to scan the package label QR code to confirm receipt of the Book.

4. Returns & Refunds Policy

A. Returns

4.1 Returns are accepted only in the following cases:

    • Damaged or defective items
    • Incorrect item supplied

4.2 Damaged or defective items:

    • Must be reported within 7 working days of receipt.
    • Customer must email passageoftime.tt@gmail.com with a clear image of the damaged item and a brief explanation.
    • PixPoint validates the claim and, if approved, arranges a replacement or refund.

4.3 Incorrect item supplied:

    • Items may be returned for a replacement at no additional cost.

4.4 Uncollected orders:

    • Orders not collected within 30 days of the scheduled pickup will be returned to inventory.

4.5 Returns are NOT accepted for:

    • Change of mind
    • Incorrect address provided by the Customer
    • Failure to collect within 30 days

B. Refunds

4.6 Refunds are only provided for:

    • Damaged or defective items (after verification by PixPoint)
    • Incorrect item supplied
    • Duplicate or erroneous payments

4.7 Refunds are NOT provided for:

    • Change of mind
    • Incorrect address provided by the Customer
    • Failure to collect within the stated collection period

4.8 Refund Processing

    • Refunds must be requested via email to passageoftime.tt@gmail.com.
    • PixPoint will validate the refund request and initiate the refund directly with WiPay.
    • Once the refund is processed, PixPoint will notify the Customer via a reply to the original refund email request.
    • For credit card purchases, customers have up to 120 days from the date of purchase to request a refund in accordance with WiPay’s Terms of Use.
    • Credit card refunds typically take 45–90 days to process, depending on whether PixPoint contests the refund.
    • Supporting documentation (order number, receipt, photo evidence) may be required for verification.

5. Cybersecurity & Indemnification

5.1 The Customer is responsible for maintaining the confidentiality of their account information, including login credentials and payment details.
5.2 The Owner and PixPoint shall not be liable for any loss, damage, or liability arising from:

    • Unauthorized access to the website
    • Cybercrime, hacking, phishing, or malware attacks
    • Fraudulent transactions initiated by third parties

5.3 The Customer agrees to indemnify and hold harmless the Owner and PixPoint from any claims, losses, liabilities, or expenses arising directly or indirectly from their breach of security, negligence, or failure to comply with these terms.
5.4 In the event of a cyber incident affecting orders or payment, the Owner and PixPoint will make reasonable efforts to resolve the issue but cannot guarantee recovery of lost funds or data.

5.5 Cybersecurity & Third-Party Platform Indemnity

The Seller, Facilitator, Website Owner, and their respective agents shall not be liable for any loss, damage, delay, or interruption arising from cyber incidents, system failures, or security breaches attributable to third-party service providers, including but not limited to hosting platforms, payment gateways, internet service providers, or software vendors. By placing an order, the Customer agrees to indemnify and hold harmless all such parties from any claims arising from these third-party cyber or technical malfunctions, except where caused by proven gross negligence or willful misconduct.

7. Limitation of Liability

7.1 PixPoint and the Owner are not responsible for delivery delays caused by carriers, customs, or other third parties.
7.2 Total liability for refunds shall not exceed the purchase price of the Book.

8. Force Majeure

The Customer agrees that PixPoint, its agents, and its representatives, and the Owner will not be held liable for any delay, non-delivery, or inability to fulfil an order or provide goods and/or services where such delay or failure results from circumstances beyond the parties’ reasonable control. These circumstances include, but are not limited to, acts of God, natural disasters, fire, war, civil unrest, government actions or restrictions, power or internet outages, third-party service or platform failures, death or illness, supply chain disruptions, or any other unforeseen events that prevent normal business operations. In the event of a Force Majeure occurrence, sales/delivery timelines shall be extended or adjusted at the Company’s discretion. 

9. Governing Law & Dispute Resolution

8.1 This Agreement shall be governed by the laws of the Republic of Trinidad and Tobago.
8.2 Any disputes shall first be attempted to be resolved amicably without litigation. If unresolved, disputes may be submitted to the courts of Trinidad and Tobago.
